Infosys co-founder N.R. Narayana Murthy may pursue his questions on \u201cpoor governance\u201d at the company and take up the issue with Chairman Nandan Nilekani, sources close to Murthy said.<\/p>\n

\u201cI spoke to Murthy, he has gone abroad yesterday (Oct. 24). He said he will come back and talk to Nandan. He said he is not going to keep quiet,\u201d said an ex-Infosys official, who is on the same page with Murthy on the issues raised by him.<\/p>\n

The Bengaluru-headquartered company, Oct. 24, absolved itself of any wrongdoing vis-a-vis the Panaya deal, as well as severance pay to its former chief financial officer, in what is seen as a snub to Murthy.<\/p>\n

Another former official of Infosys, on condition of anonymity, said the board was anyways not expected to \u201cpublicly admit to wrongdoing.\u201d<\/p>\n

\u201cIf the board comes out and says they have done something wrong, there will be class-action lawsuit on the company; so they have to say nothing wrong to protect the company,\u201d the official said.<\/p>\n

So, the clean chit given to the company is being seen as some kind of a balancing act by Nilekani to \u201cprotect\u201d the company, the official added.<\/p>\n

The official noted that when former CFO Rajiv Bansal\u2019s severance pay issue was raised, the company \u201cstopped payment\u201d and also claimed that \u201calmost all members of the M&A team were told to go\u201d when questions were asked about the Panaya deal.<\/p>\n

He added that Infosys replaced Rupa Kudva as chairperson of the audit committee with independent director D. Sundaram.<\/p>\n

\u201cSo, they have taken some internal action but they can\u2019t publicly admit there was a mistake,\u201d the official claimed.<\/p>\n

Murthy expressed disappointment, Oct. 24, that none of the questions raised by him on \u201cpoor governance\u201d had been answered by the company\u2019s board with transparency.<\/p>\n

His comments came after the Infosys board under chairman Nilekani gave a clean chit to the company\u2019s $200 million Panaya acquisition. The board also refused to put out additional details of the probe, as had been demanded by Murthy.<\/p>\n

Murthy said he stood by every question on \u201cpoor governance\u201d raised in his speech, dated August 29, 2017, to Infosys investors.<\/p>\n
